White Label Services Agreement

1. Introduction

This White Label Services Agreement ("Agreement") sets out the terms under which Forty Miles West ("FMW", "we", "us") provides white label web design, web development, hosting, and related digital services to agencies, freelancers, and partners ("the Partner").

By engaging FMW for white label work, the Partner agrees to these terms in full.

2. Service Overview

Our white label services allow partners to offer web design, development, and hosting under their own brand, with FMW handling the technical delivery. Services include:

  • Custom website design and development
  • WordPress, Strapi, and headless CMS development
  • Managed hosting and server administration
  • Technical SEO audits and implementation
  • API development and system integrations
  • Ongoing maintenance and support

3. Branding and Confidentiality

  • All white label work will be delivered under the Partner's brand. FMW will not contact the Partner's end clients directly unless explicitly authorised.
  • FMW will not disclose the existence of the white label relationship to the Partner's clients or any third party.
  • All project details, client information, and business strategies shared by the Partner are treated as strictly confidential.
  • FMW will not use white label projects in its own portfolio or marketing without written consent from the Partner.

4. Project Process

  • Each project begins with a brief from the Partner, outlining the end client's requirements, brand guidelines, and deliverables.
  • FMW provides a quote and estimated timeline based on the brief. Work begins upon written acceptance and payment of any required deposit.
  • Communication during the project is between FMW and the Partner only. The Partner is responsible for managing their end client relationship.
  • Staging sites and deliverables are provided to the Partner for review before the Partner presents them to their client.

5. Intellectual Property

  • Upon full payment, all intellectual property in the custom deliverables transfers to the Partner (or their end client, as agreed).
  • FMW retains ownership of proprietary tools, frameworks, and code libraries used across multiple projects.
  • Third-party software, plugins, and libraries remain subject to their respective licences.

6. Pricing and Payment

  • White label pricing is provided on a per-project or retainer basis, as agreed between FMW and the Partner.
  • White label rates are separate from FMW's direct client rates and are not publicly disclosed.
  • A deposit of 50% is required before work begins on each project, unless a retainer arrangement is in place.
  • Invoices are payable within 14 days of issue.
  • The Partner's pricing to their end client is entirely at the Partner's discretion.

7. Quality and Revisions

  • FMW delivers all work to the same quality standard as direct client projects.
  • Two rounds of revisions are included in the standard scope. Additional revisions may be quoted separately.
  • The Partner is responsible for gathering and consolidating feedback from their end client before submitting revision requests to FMW.

8. Support and Maintenance

  • Post-launch support for white label projects follows the same 30-day period as direct projects.
  • Ongoing maintenance and support can be arranged under a separate retainer agreement.
  • Support communication is between FMW and the Partner only. FMW does not provide direct support to the Partner's end clients.

9. Data Protection

  • FMW processes all personal data in accordance with the UK GDPR and the Data Protection Act 2018.
  • Where FMW processes personal data on behalf of the Partner or their end clients, a Data Processing Agreement will be put in place.
  • The Partner is responsible for ensuring they have appropriate agreements in place with their end clients regarding data processing.

10. Termination

  • Either party may terminate the white label arrangement by providing 30 days' written notice.
  • Active projects in progress at the time of termination will be completed as agreed, subject to payment.
  • FMW may terminate immediately if the Partner breaches these terms, fails to pay invoices, or engages in conduct detrimental to FMW's reputation.

11. Liability

  • FMW's liability under this Agreement is limited to the total fees paid by the Partner for the specific project giving rise to any claim.
  • FMW is not liable for any claims made by the Partner's end clients against the Partner.
  • The Partner indemnifies FMW against any claims arising from the Partner's misrepresentation of the services or their relationship with FMW.

12. General Provisions

  • This Agreement is governed by the laws of England and Wales.
  • Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
  • This Agreement, together with any project-specific proposals, constitutes the entire agreement between the parties.
